Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by LabelERP Technologies Pvt. Ltd. ("LabelERP," "we," "us," or "our"), including the website at labelerp.co.in and the application at app.labelerp.co.in. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using any part of our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our services on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

2. Account Registration and Responsibilities

To access our platform, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activities that occur under your account.
• Notifying us immediately at mybrand@labelerp.co.in if you suspect any unauthorised access to your account.
• Ensuring that the data you enter into the platform is accurate and that you have the right to use and upload such data.

3. Subscription and Billing

a) Plans

LabelERP offers various subscription plans with different features and usage limits. Details of available plans and pricing are published on our website and may change from time to time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

b) Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. All fees are quoted in Indian Rupees (INR) and are inclusive of applicable taxes. Payments are processed through our third-party payment provider.

c) Free Trial

We may offer a free trial period for new users. At the end of the trial, your account will be converted to a paid subscription unless you cancel before the trial expires. We will send you a reminder before the trial ends.

d) Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, your account will remain active until the end of the current billing period. After that, your access to paid features will be suspended, but you may still export your data for up to 30 days.

e) Refunds

Refund requests are evaluated on a case-by-case basis. If you are unsatisfied with our service within the first 14 days of a paid subscription, you may request a full refund by contacting us at mybrand@labelerp.co.in. After 14 days, refunds are not available for the current billing period, but you may cancel to prevent future charges.

4. Acceptable Use Policy

You agree not to use our services to:

• Violate any applicable law or regulation.
• Upload, store, or transmit any content that is illegal, harmful, defamatory, or infringes on the intellectual property rights of others.
• Attempt to gain unauthorised access to our systems, other users' accounts, or any connected networks.
• Interfere with or disrupt the integrity or performance of the platform, including through automated scripts, bots, or denial-of-service attacks.
• Reverse-engineer, decompile, or disassemble any part of our software.
• Resell, sublicense, or redistribute our services without our prior written consent.

We reserve the right to suspend or terminate accounts that violate this acceptable use policy, with or without notice.

5. Intellectual Property

All intellectual property rights in the LabelERP platform — including the software, design, logos, trademarks, documentation, and content — are owned by LabelERP Technologies Pvt. Ltd. or its licensors. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the platform for your internal business purposes during the subscription term.

You retain full ownership of the data you upload to the platform. By using our services, you grant us a limited licence to process your data solely for the purpose of providing and improving our services.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our services.
• Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to LabelERP in the twelve (12) months preceding the claim.

7. Indemnification

You agree to indemnify and hold harmless LabelERP Technologies Pvt. Ltd., its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the services, your violation of these Terms, or your infringement of any third-party rights.

8. Termination

We may suspend or terminate your access to the services at any time if you breach these Terms or if we are required to do so by law. Upon termination:

• Your right to use the platform ceases immediately.
• You will have 30 days to export your data. After this period, your data will be permanently deleted.
• Any outstanding fees owed to us become immediately due and payable.

9. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.

Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

10. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our platform at least 15 days before they take effect. Your continued use of the services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you may cancel your subscription and discontinue use of the services.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
